Contract template for marketing consultants
Marketing engagements fall apart when expectations about results were never written down. The client heard "we will grow your leads" and expects a number; the consultant meant "we will run a better process". A contract that states the work, the reporting and the absence of guaranteed outcomes protects both sides from a conversation that nobody wins.
The other recurring dispute is about who owns what at the end: the ad accounts, the audiences, the campaign structure, the copy and the plan itself. Put it in the contract, so leaving the engagement does not mean losing the client's own history or your own frameworks.
Not legal advice. This is a plain-language starting point, not a contract drafted for your situation or your country. For anything large or unusual, have a lawyer where you work read it before you sign.
Clauses specific to marketing consultants
- Strategy versus execution. The consultant delivers the strategy documents listed in the quote. Carrying out the strategy is only included if the quote lists an execution retainer.
- No guaranteed results. The consultant will carry out the agreed work with reasonable care but does not guarantee leads, sales, rankings or return on ad spend.
- Media spend. Advertising budgets are paid by the client directly to the platforms. The consultant is not liable for platform charges, policy decisions or account suspensions.
- Accounts and data. Ad accounts, analytics, audiences and CRM data belong to the client and remain accessible to the client at all times. The consultant's access ends when the agreement ends.
- Consultant's methods. Templates, frameworks and tools the consultant used before the engagement remain the consultant's property. The client receives a licence to use them as part of the delivered work.
- Client decisions. The client is responsible for final approval of campaigns, claims and offers made in its marketing, including their legal accuracy.
The clauses every freelance contract needs
- Parties. Who the agreement is between: your legal name or business, the client's legal entity, and the addresses of both.
- Scope of work. What you will deliver, in what form, and what is explicitly not included. Refer to the quote or proposal by number if it lists the details.
- Fees and payment terms. The total fee or rate, the currency, any deposit, when invoices are issued and how many days the client has to pay.
- Late payment. What happens when an invoice is late: interest or a fixed fee if you want one, and your right to pause work until the account is settled.
- Changes and revisions. How many revision rounds are included, what counts as a change of scope, and how extra work is priced and approved.
- Timeline and client delays. Key dates, and that deadlines move when the client is late with feedback, content or approvals.
- Ownership and licence. Who owns the finished work and when (usually on full payment), what the client may use it for, and what you keep, such as your tools, templates and know-how.
- Confidentiality. Both sides keep the other's non-public information private, during the project and after it.
- Cancellation. How either side can end the agreement, the notice required, and payment for work done up to that point.
- Liability. A cap on what either side can claim, often the fees paid under the agreement, and no liability for indirect losses.
- Governing law. Which country's law applies and where disputes are heard. Usually where you are based.

Questions marketing consultants ask
Who owns the ad account after a marketing consultant leaves?
The client should. Set up ad accounts under the client's business manager and work through partner access. The contract should say the account, its history and its audiences stay with the client.
Does a marketing consultant own the strategy document?
Once paid, the client usually gets full use of the document. Your underlying frameworks and templates can stay yours if the contract says so, which lets you reuse your method with other clients.
What happens if the client ignores the strategy?
The strategy fee is still owed. Make the deliverable the document and the sessions, not the outcome. If execution is part of the deal, note that results depend on the client implementing its part of the plan.
