Terms of Service
Last updated: 2026-10-05
These terms are the agreement between you and Damian Mathew Bishop, a sole trader registered in Poland (CEIDG), ul. Wierzbięcice 44a/40A, 61-568 Poznań, Poland, NIP 7773472578, REGON 545258794, who runs OIO ("OIO", "we", "us"). They cover the oio.app website and the OIO app (the "Service"). They are also our terms of providing services electronically (regulamin) under Polish law. You can save or print this page at any time.
Also part of the agreement: the Acceptable Use Policy, the Cancellation & Refund Policy and, if you put other people's personal data into OIO, the Data Processing Agreement. How we handle your own data is in the Privacy Policy.
1. Who is who
- Consumer: a person using OIO mainly for purposes outside their trade, business or profession.
- Business customer: anyone else, including freelancers, sole traders and companies using OIO for their work.
- Polish sole traders buying OIO for a purpose that is not professional for them, judged by the business activity listed in CEIDG, get the consumer rules on withdrawal and unfair terms (art. 38a and 7aa of the Polish Consumer Rights Act). Where these terms give consumers a right, that includes them.
Where a clause says it applies to business customers only, it never applies to consumers.
2. What OIO is
OIO is software for running freelance and studio work: projects, clients, tasks, invoices and documents, files, recordings, whiteboards, calendar, chat, lead forms and an AI assistant. We provide it electronically, in these forms:
- a user account and workspace (Free or paid plan);
- sharing links, client status pages and public lead forms you create;
- emails and notifications the Service sends for you or to you;
- our public website, free tools and templates, which you can use without an account.
What each plan includes (storage, seats, AI allowance) is on the pricing page at the time you subscribe. The Free plan has no time limit and no card.
3. What you need to use it
- A device with an internet connection and a current version of Chrome, Edge, Firefox or Safari, with JavaScript and cookies turned on. OIO is built for computers first; phones and tablets work but some views are simpler there.
- An email address you can receive mail at.
- Microphone or camera access for recording features, if you use them.
Any online service carries risks such as malware, phishing and someone getting hold of your password. Keep your device updated, use a strong unique password, turn on 2FA, and note that we will never ask for your password by email.
4. Your account
- The agreement starts when you create an account, and runs until you or we end it. A paid plan is an additional agreement that starts when you complete checkout (section 5).
- You must be at least 16 to use OIO, and an adult with full legal capacity to buy a paid plan.
- Give accurate details and keep them up to date. Keep your sign-in details to yourself; you are responsible for what happens under your account.
- Tell us at once at [email protected] if you think someone else has access.
- One Free account per person or company.
- If you invite team members, you are responsible for what you let them see and do.
5. Paid plans, trial and billing
- Prices. The price is the one shown on the pricing page and at checkout, per month or per year (the yearly price is 9 times the monthly one). Payment is by card through Stripe.
- No VAT is added. We are exempt from Polish VAT under art. 113 of the Polish VAT Act, so we do not charge VAT and the price you see is the price you pay. If that changes, we tell you at least 30 days before it affects your price, and for consumers the price shown always includes any tax.
- Free trial. Your first paid subscription starts with a 7-day free trial. We take your card at checkout but charge nothing during the trial. If you do not cancel before the trial ends, the plan you chose starts and we charge the first period. We send you a reminder before the trial ends. One trial per customer.
- Renewal. Plans renew automatically for the same period (monthly or yearly) and are charged in advance, until you cancel.
- Cancelling. Cancel any time in Settings > Billing, or by email to [email protected]. Cancelling stops the next renewal; you keep the plan until the end of the period you paid for, then the workspace drops to Free. Nothing is deleted when you cancel. Paid-only features such as AI stop, and if you are over the Free plan's storage limit you cannot upload more until you upgrade or tidy up.
- Consumers on yearly plans. After a yearly plan has renewed automatically, a consumer can end it at any time with one month's notice, and we refund the unused whole months.
- Changing plans. Upgrades and downgrades take effect at once and Stripe works out the difference pro rata.
- Price changes. We can change prices for the future. We tell you by email at least 30 days before your next renewal at the new price. If you do not want it, cancel before then.
- Failed payments. If a payment fails, Stripe retries it. If it still fails, the workspace drops to Free until it is paid.
- Receipts and invoices. You get a receipt or invoice by email for each payment.
- Refunds. Apart from the statutory rights in section 6 and the cases in our Refund Policy, payments are not refunded.
6. Right of withdrawal (consumers)
If you are a consumer, you can withdraw from a paid plan within 14 days of the day you complete checkout, without giving a reason. If you cancel during the free trial, you pay nothing at all. At checkout you ask us to start the Service straight away; so if you withdraw after the first charge but within the 14 days, we refund what you paid minus the part for the days you had the paid plan. How to withdraw, a model form and the refund timing are in our Cancellation & Refund Policy.
7. Rules for using OIO
You may not use OIO to provide or store unlawful content, or to break the law or other people's rights. In particular, no:
- content that is illegal where you are or in Poland, including child sexual abuse material, terrorist content, illegal hate speech, and content that infringes copyright, trade marks or privacy;
- malware, phishing, fraud, spam or attacks on the Service or anyone else;
- attempts to get around security, rate limits or plan limits, or to reach data that is not yours;
- processing of personal data without a legal basis;
- reselling the Service without our written permission.
The Acceptable Use Policy has the full list. Section 11 explains what we do when a rule is broken.
8. Your content
What you put into OIO stays yours. You give us the right to host, store, copy, transmit, process and display it only as needed to run the Service for you (including backups, and sending it to the providers listed in the Privacy Policy when a feature you use needs them). That right ends when the content is deleted, subject to backups rolling off and section 13. You confirm you are allowed to upload what you upload.
If you send us ideas or feedback, we may use them without owing you anything.
9. Personal data and the DPA
When you put other people's personal data into OIO, you are the controller and we are your processor. Our Data Processing Agreement is part of these terms and applies automatically. You are responsible for having a legal basis for that data and for telling those people what you do with it.
10. AI features
- The assistant, transcription and other AI features are run by third-party AI providers (Anthropic and Groq at the moment, both in the USA). What goes to whom, and where, is in the Privacy Policy.
- AI features only run when you use them. They are labelled as AI in the app.
- We do not use your content to train AI models.
- AI output can be wrong, incomplete or out of date. Check it before you rely on it, especially for money, legal or tax matters. It is not professional advice.
- Paid plans include a monthly AI allowance, shown on the pricing page. When it runs out, AI features pause until the next period.
10a. Electronic signatures
You can send a contract, proposal or PDF from OIO to be signed online. Each signer gets their own link by email (or from you). This part of the terms also applies to signers, who don't need an OIO account.
- Before signing, each signer ticks a box to agree to sign electronically. Their signature (drawn or typed), the fields they fill in, the time, their IP address and their browser are recorded.
- These are simple electronic signatures under the EU eIDAS Regulation (Art. 3(10)) and electronic signatures under the US ESIGN Act. They are not qualified electronic signatures. Some documents need a qualified signature, a notary or a handwritten one (in many countries: property transfers, wills, some employment and consumer credit documents). Whether an electronic signature is enough for your document is your call as the sender.
- OIO does not check who a signer is. A link proves that the person had access to that email address or to the link you shared. If you need more, check identity yourself before you send.
- A signer who would rather sign on paper should not sign online. They can decline on the signing page or ask the sender for a paper copy.
- The document is frozen when it is sent: its SHA-256 fingerprint is recorded and it can't be changed after that. The signed PDF is the frozen document with the signatures and a signature certificate added after it. The audit trail is kept with the request.
- You are responsible for what you send, and for being allowed to send it to the people you name. Signing links work for 30 days, and you can withdraw a request at any time.
- The Free plan includes 1 signature request per month. Paid plans have no monthly limit.
11. Reports, moderation and points of contact
We do not watch what you store, but we act on reports. This section is how we meet the EU Digital Services Act.
- Reporting illegal content. Anyone can report content on OIO they believe is illegal (for example a shared link or a public form) to [email protected]. Include: why you think it is illegal, the exact link, your name and email (not needed for child sexual abuse reports), and a statement that you believe in good faith that the report is accurate and complete. We confirm receipt, decide carefully and without undue delay, and tell you what we did. Copyright reports follow the same route; see the Acceptable Use Policy.
- What we may do. Remove or disable access to content, turn off a sharing link or form, limit features, or suspend or close an account. We act in proportion to the problem, considering how serious it is and whether it is repeated.
- Telling you why. If we restrict your content or account, we tell you what we did, why, which rule or law it is based on, and how to challenge it, unless the law or an authority stops us. You can reply to that message or write to [email protected] and we will look at it again. You can also go to court.
- We do not use automated tools to decide on content.
- If we learn of content suggesting a crime that threatens someone's life or safety, we tell the police.
- Points of contact. For users, and for EU member state authorities, the Commission and the European Board for Digital Services: [email protected]. Languages: English and Polish.
12. Availability and changes to the Service
- We work to keep OIO running and your data safe, but we do not promise it will always be available or error-free. We may pause it for maintenance, ideally with notice.
- We keep developing OIO and may change features. We do not remove a core feature of a paid plan during the period you paid for without good reason, such as security, a change in law or a provider shutting down.
- If you are a consumer and a change makes the Service worse for you in more than a minor way, we tell you at least 30 days before, and you can end your paid plan free of charge within 30 days of the change and get back what you prepaid for the time after it.
- Keep your own copies of important documents. Exports are in Settings.
13. Ending the agreement
- You can stop at any time: cancel the paid plan (section 5), or delete your account in Settings, which erases your data as described in the Privacy Policy.
- We can end the agreement with 30 days' notice by email, for any reason. If you prepaid, we refund the unused part.
- We can suspend or close an account at once if you seriously or repeatedly break these terms or the law, do not pay, or put the Service or other people at risk. We tell you why (section 11). If we close a paid account for no fault of yours, we refund the unused part.
- Your data. Before we close an account, you get at least 30 days to export your data, unless the law stops us or the account was used for serious illegal activity.
14. Complaints
If something does not work as promised, or you are unhappy with us, write to [email protected] or by post to the address at the top. Tell us who you are (the account email), what happened and what you want us to do. We answer within 14 days. If you are a consumer and we do not answer in that time, your complaint counts as accepted.
Consumers also keep their statutory rights if the Service does not match the agreement: we fix it within a reasonable time and free of charge, and if we cannot, you can ask for a lower price or end the agreement and get a refund for the affected time. Nothing in these terms limits those rights.
Consumers in Poland can get free help from their local consumer ombudsman (miejski or powiatowy rzecznik konsumentów) or the Voivodeship Trade Inspection, and elsewhere from a national consumer body. We do not take part in out-of-court consumer dispute resolution, but you can always go to court.
15. Liability
- We are fully liable for damage we cause intentionally or through gross negligence, for death or personal injury, and wherever the law does not allow a limit. Nothing in these terms changes that.
- Consumers: we are liable under the law of your country. We do not limit your statutory rights.
- Business customers: beyond the first point, (a) we are not liable for lost profits, lost revenue, lost data that you could have restored from your own exports, or indirect damage, and (b) our total liability per year is limited to what you paid us in the 12 months before the event, or EUR 100 if that is more. To the extent the law allows, the statutory warranty for defects (rękojmia) does not apply between businesses; section 14 applies instead.
- We are not liable for delays or failures caused by things outside our reasonable control, such as outages at our providers, network failures, attacks or acts of authorities, as long as we do what we reasonably can to limit the effects.
16. Claims against us caused by you (business customers)
If someone makes a claim against us because of content you uploaded or because you broke these terms or the law, you cover our reasonable costs and damages from it. We tell you about the claim promptly and let you take part in the defence. This does not apply to consumers.
17. Changes to these terms
We may change these terms for good reason: changes in the law or in the Service, security, or to make them clearer. We email account holders at least 30 days before a change takes effect (sooner only where a law or authority requires it). If you do not agree, you can end the agreement before then; if you prepaid, we refund the unused part. If you keep using OIO after the date, the new terms apply. Paid periods already started keep their price.
18. Law and courts
- These terms are governed by Polish law.
- Consumers also keep the protection of the mandatory laws of the country where they live. You can bring a claim in the courts of your country or of Poland, and we can only bring one against you in the courts of your country.
- Business customers: disputes go to the courts of Poznań, Poland. UN sales law (CISG) does not apply.
19. Other things
- If one clause is invalid, the rest still applies, and the invalid clause is replaced by the closest valid one.
- Not enforcing a right now does not mean we give it up.
- You may not transfer this agreement without our consent. We may transfer it to a successor running the Service, and tell you; if you are a consumer and do not agree, you can end it.
- We send notices to the email on your account or in the app. You send them to the addresses below.
- These terms are written in English. If we provide a translation, the English version applies, unless the law where a consumer lives says otherwise.
